By-Laws for The Unix Heritage Society Inc.

These by-laws augment the rules of The Unix Heritage Society Inc. They cannot change or replace these existing rules.

Rationale: we can keep the model NFP rules in Victoria but customise them to suit the Association's needs. If we make changes to the rules themselves, there is a registration/cost issue in Victoria, but not if we stick with the original model NFP rules.

Alteration of By-Laws

Augmenting Rules 77 and 39, the by-laws may only be altered by special resolution of a general meeting of the Association.

Rationale: as by-laws augment the existing rules, they need to be subject to the existing change rules.

Membership Fees

Augmenting Rule 12, there are no joining or membership fees for the Association.

Rationale: all the members are volunteers, so no need for them to pay.

Approval of New Membership

Augmenting Rule 10, no less than three-quarters of the Association members must vote in favour of a proposed new membership in order to approve that membership.

Rationale: this is effectively a special resolution but does not require a General Meeting, so that we can vote electronically and over a time period. This will also help to prevent branch stacking.

Warren Toomey's Membership

Warren Toomey's membership of the Association is permanent and cannot be revoked. He may, if he so chooses, resign his membership of the Association.

Rationale: Warren founded TUHS and managed the Association for 30 years. It should be extremely difficult to remove him from TUHSI.

The tuhs.org Internet Domain

Upon formation of the Association, for the sum of one Australian dollar, Warren Toomey agrees to transfer the ownership of the Internet domain tuhs.org, and all associated control of it, to the Association under the following agreement, in perpetuity:

(a) Exclusive ongoing use of the e-mail address wkt@tuhs.org and the domain name minnie.tuhs.org is guaranteed to Warren Toomey and his estate, at no cost to the Association, on the proviso that they are used only in a personal capacity, they are not used to unduly disparage the Association, and that their usage does not conflict with the purposes of the Association.

(b) Should the Association cease to exist, be subsumed by another entity, lose ownership of, or choose to relinquish ownership of the tuhs.org domain name, Warren Toomey or his estate must be given a first right of refusal to purchase ownership of the tuhs.org domain for the sum of one Australian dollar.

Rationale: Warren purchased the tuhs.org domain in May 2000 and has used the e-mail wkt@tuhs.org since then. Warren uses it for all personal correspondance and for several on-line services. It would cause Warren extreme distress if he lost the right to use this e-mail address.
